1. Definitions
"Service" means legal advisory services provided by Cong Minh. "User" means any person accessing our website or contacting us. "Client" means any party that enters a formal engagement with Cong Minh. "We / Us / Our" means Cong Minh, 62 Ly Tu Trong, District 1, Ho Chi Minh City 700000, Vietnam. "Agreement" means these Terms together with any applicable engagement letter. "Content" means all materials published on this website.
2. Acceptance of Terms
By accessing this website or submitting an enquiry, you confirm that you have read and agree to these Terms and Conditions. Use of our services is available to individuals aged 18 and above with legal capacity to enter agreements under Vietnamese law or the law of their jurisdiction.
3. Service Description
Cong Minh provides legal advisory services in the following areas: business registration and licensing guidance, contract review and drafting, and corporate compliance and governance advisory. We do not provide criminal law or medical law advice. Services are available in English and Vietnamese. Geographic restrictions on certain filings will be communicated during initial consultation.
4. Engagement and Scope
A formal client relationship begins only upon the signing of an engagement letter confirming the scope, timeline, and fee. Submission of an enquiry or attendance at an initial consultation does not create a client relationship or advisory obligation. Changes to scope are subject to written agreement and may affect fees and timelines.
5. User Responsibilities
When using our website or engaging our services, you agree to provide accurate and complete information, notify us promptly of changes relevant to your engagement, use the website and services for lawful purposes only, and not attempt unauthorised access to our systems or transmit harmful or unlawful content.
6. Intellectual Property
All content on this website is owned by or licensed to Cong Minh. You may not reproduce or use this content commercially without written permission. Documents produced for clients as part of a completed, paid engagement become the property of the client. Cong Minh retains copies for professional record-keeping purposes.
7. Payment Terms
Service fees are set out in the engagement letter and payable in Vietnamese Dong (VND). Standard fees are: Business Registration Guidance at 4,500,000 VND; Contract Review and Drafting at 12,000,000 VND; Corporate Compliance Advisory at 28,000,000 VND. Fees are non-refundable once work has commenced on the agreed scope, except where Cong Minh is unable to complete the engagement due to circumstances within our control.
8. Confidentiality
Cong Minh treats all client information with strict professional confidentiality. We do not disclose client information to third parties except where required by Vietnamese law or professional regulatory obligations. Our full data handling practices are set out in our Privacy Policy.
9. Disclaimers
Website content is provided for general informational purposes only and does not constitute legal advice. Specific legal advice is provided solely through a formal engagement. We make no warranty that outcomes from third-party-dependent processes such as regulatory approvals will meet any particular result, as these involve authorities beyond our control.
10. Limitation of Liability
To the maximum extent permitted by Vietnamese law, Cong Minh's liability for any claim arising from our services is limited to the fees paid for the specific engagement giving rise to the claim. We exclude liability for indirect, consequential, or incidental losses. Nothing in these terms excludes liability for fraud or any liability that cannot be excluded under Vietnamese law.
11. Indemnification
You agree to indemnify Cong Minh against any claims, costs, or losses arising from your breach of these Terms or from false or misleading information provided to us in connection with your enquiry or engagement.
12. Termination
Either party may terminate an engagement by written notice. If the client terminates after work has commenced, fees for work completed to the point of termination are payable. Cong Minh may terminate an engagement where a client has provided materially false information or failed to cooperate. Sections relating to confidentiality, intellectual property, payment obligations, and dispute resolution survive termination.
13. Dispute Resolution
These Terms are governed by Vietnamese law. Disputes are subject to the jurisdiction of the courts of Ho Chi Minh City, Vietnam. Before commencing formal proceedings, parties are encouraged to attempt informal resolution by contacting us at [email protected]. We will endeavour to respond in good faith within 14 working days.
14. General Provisions
These Terms, together with any applicable engagement letter, constitute the complete agreement between the parties regarding use of our services. If any provision is found unenforceable, the remaining provisions continue in full force. Failure to enforce any provision does not constitute a waiver. Clients may not assign rights under an engagement agreement without our written consent.
15. Changes to These Terms
We may update these Terms from time to time. The effective date shown above reflects the most recent version. Continued use of the website following any update constitutes acceptance of the revised terms. Material changes affecting active client engagements will be communicated directly.
